New Annual Report Filing Requirements for Pennsylvania Businesses

Starting in 2025, Pennsylvania is introducing new requirements for businesses and organizations to file an Annual Report (DSCB:15-146). This change applies to a wide range of domestic and foreign entities. Here’s everything you need to know to ensure you stay compliant and avoid delays.
Who Needs to File?
The Annual Report filing requirement affects the following types of associations:
- Domestic business corporations
- Domestic nonprofit corporations
- Domestic limited liability (general) partnerships
- Domestic electing partnerships that are not limited partnerships
- Domestic limited partnerships, including limited liability limited partnerships
- Domestic limited liability companies (LLCs)
- Domestic professional associations
- Domestic business trusts
- All registered foreign associations
What Information Do You Need to Provide?
The Annual Report will ask for the following key details:
- Business Name
- Jurisdiction of Formation
- Registered Office Address
- Principal Office Address
- Governor Information (at least one, such as a director, member, or partner)
- Names and Titles of Principal Officers, if applicable
- Entity Number issued by the Pennsylvania Department of State
Annual Report Fees
- $7 Fee for business corporations, LLCs, limited partnerships (LPs), and limited liability general partnerships (LLPs).
- $0 Fee for nonprofit corporations and LPs or LLCs formed for not-for-profit purposes.
How to File Your Annual Report Online
Beginning January 6, 2025, the Annual Report must be filed online at file.dos.pa.gov. Online filing is strongly recommended for ease and accuracy.

- Once processed, you can download the approved Annual Report immediately, and you’ll receive an email with instructions to access it via the Business Filing Services (BFS) portal.
Steps to File:
- Create a BFS Account if you’re a new user. (Visit the Customer Portal Overview for more information.)
- Log in at file.dos.pa.gov and search for your business using the “Business Search” feature.
- Click on the Annual Report icon (no PIN is required).
- Complete the online form and submit payment via credit card.
- After submission, you’ll be able to download the completed report immediately. You’ll also receive an email with instructions on how to access your filed document.
